THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY (SEE SECTIONS 7, 11, AND 12), AND A MANDATORY ARBITRATION PROVISION (SEE SECTION 13). BY USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Service to Millions LTD dba Undeniable ("Undeniable," "we," "us," or "our") governing your use of our website at justundeniable.com and our DWY Mentorship educational services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our Services.

2. Eligibility and Account Registration

Business Services Only

Our Services are provided exclusively on a business-to-business (B2B) basis for web agencies, consultants, and coaches with annual revenues between £120,000 and £600,000. By using our Services, you represent that you are using them for business education purposes only.

Age and Capacity

You must be at least 18 years old and have the legal capacity to enter into binding contracts. If you are accessing the Services on behalf of a company, you represent that you have authority to bind that entity to these Terms.

Account Creation

To access our educational programs, you must create an account through our authentication provider, Memberstack. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use
  • Not share, sell, or transfer your account access

3. Description of Educational Services

Undeniable provides a comprehensive business education program utilizing multiple learning modalities designed for:

  • Web and digital agencies seeking to develop scaling skills
  • High-ticket coaches and consultants learning systematic business growth
  • Marketing consultants and fractional CMOs building business education

Core Educational Components:

  • Self-Paced Learning: 50+ hours of structured video lessons
  • Live Instruction: Weekly group coaching calls covering course materials
  • Individual Support: Monthly one-on-one educational coaching
  • Peer Learning Community: Moderated educational forums and study groups
  • Digital Materials: Downloadable workbooks, templates, and frameworks
  • Accountability Framework: Structured peer support for course completion

The Community Learning Experience:

Our program incorporates peer learning methodologies similar to executive MBA programs. You'll join a cohort of fellow students, participating in:

  • Facilitated group discussions about course concepts
  • Peer accountability partnerships for assignment completion
  • Shared learning exercises and case studies

This replicates the benefits of in-person executive education programs in an online format - providing both structured curriculum and peer learning support without geographical constraints.

We believe business education is enhanced through collaborative learning. Our community component is designed to deepen understanding of course materials through structured peer interaction, not for business networking or opportunity sharing.

Service Delivery Schedule:

  • Immediate Access: Course videos and materials are delivered immediately upon purchase via your member dashboard
  • Scheduled Components: Live Q&A calls and one-on-one coaching are scheduled after purchase
  • Delivery Confirmation: You will receive email confirmation with access credentials within 1 hour of purchase
  • Technical Requirements: Requires internet connection and modern web browser

4. Educational Service Disclaimer

Nature of Service:

Service to Millions LTD dba Undeniable provides educational content, mentorship, and coaching services designed to help businesses develop skills and knowledge.

Educational Purpose:

Our DWY Mentorship program is an educational service that provides:

  • Video lessons and course materials
  • Live group Q&A sessions
  • One-on-one coaching calls
  • Educational frameworks and methodologies
  • Access to a learning community

Individual Results:

As with any educational program, the application of learned concepts and ultimate business outcomes depend on numerous individual factors including effort, market conditions, and execution. We make no guarantees about specific business outcomes, as success depends on how you apply the education received.

Not Financial Advice:

Our educational content does not constitute financial, legal, or professional advice. Always consult appropriate professionals for your specific situation.

Educational Investment:

The tuition for our program should be viewed as an investment in your business education, similar to any professional development course or executive education program.

5. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

Prohibited Activities:

  • Use the Services for any unlawful purpose or in violation of any regulations
  • Transmit any material that is defamatory, offensive, harmful, or otherwise objectionable
  • Impersonate any person or entity or misrepresent your affiliation
  • Engage in any form of harassment, abusive behavior, hate speech, or discrimination
  • Attempt to gain unauthorized access to our systems or user accounts
  • Interfere with or disrupt the Services, servers, or networks
  • Use automated means (bots, scrapers, etc.) without our permission
  • Circumvent any security measures or authentication procedures
  • Share, sell, or transfer your account credentials
  • Reverse engineer, decompile, or attempt to extract source code
  • Copy, modify, or create derivative works from our content
  • Use our intellectual property without written permission
  • Violate any third-party rights

Professional Standards

As a professional educational service, you agree to:

  • Maintain confidentiality of information shared by other students
  • Engage respectfully and professionally with instructors and peers
  • Provide honest and accurate information about your business
  • Respect intellectual property rights of Undeniable and other users
  • Not solicit other members for purposes outside our educational program
  • Not share proprietary educational materials publicly
  • Focus community participation on educational discussions

Community Guidelines and Educational Purpose

Educational Community Purpose:

Our community exists solely to support your educational journey through:

  • Discussion of course materials and concepts
  • Peer support for learning objectives
  • Sharing experiences implementing course teachings
  • Collaborative study and accountability

Not Permitted:

  • Business solicitation or promotional activities
  • Sharing of business opportunities or deals
  • Direct client/customer referrals
  • Any non-educational commercial activity

Access Terms:

Community access is provided as part of the educational program and cannot be purchased separately. It is designed to enhance learning outcomes, not as a business networking service.

6. Intellectual Property Rights

Our Intellectual Property

All intellectual property rights in the Services, including but not limited to:

  • The DWY Mentorship curriculum and educational frameworks
  • Course materials, templates, tools, and resources
  • Website content, design, and functionality
  • Trademarks, logos, and branding elements
  • Videos, audio, graphics, and written content
  • Software, code, and technical implementations

remain the exclusive property of Service to Millions LTD. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the educational materials solely for your personal business education during your active enrollment.

This license does not permit you to:

  • Share materials with non-students
  • Resell or redistribute our educational content
  • Create competing educational products or services
  • Use our content for public presentations without permission
  • Claim ownership of any of our intellectual property

Your Content

You retain ownership of any content you create or provide during your participation ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use, modify, publicly perform, publicly display, reproduce, and distribute such content for:

  • Providing and improving our educational services
  • Marketing and promotional purposes
  • Creating anonymized case studies and educational examples
  • Internal training and quality assurance

You represent and warrant that you have all necessary rights to grant this license.

Feedback

Any suggestions, feedback, or ideas you provide become our property and may be used without compensation or attribution. We are under no obligation to implement any suggestions or keep them confidential.

7. Testimonials, Reviews, and User Content

By submitting testimonials, reviews, success stories, or case study information, you:

Grant Us Rights To:

  • Use your name, business name, image, and location
  • Share educational outcomes and learning experiences you provide
  • Edit submissions for length, clarity, and grammar
  • Use content across all marketing channels in perpetuity
  • Create derivative works and composite success stories
  • Use content with or without attribution

You Represent That:

  • All testimonials and educational outcomes you share are truthful and accurate
  • You have authority to share such information
  • Your submissions don't violate any confidentiality agreements
  • You understand testimonials may be used indefinitely

We reserve the right to use anonymized and aggregated data for any purpose.

8. Payment Terms and Refund Policy

Fees and Billing

  • All fees are stated in British Pounds Sterling unless otherwise specified
  • Payment is processed through Stripe and/or Klarna, our third-party payment processors
  • By providing payment information, you authorize us to charge applicable fees
  • We reserve the right to change prices with 30 days' notice

Klarna Buy Now Pay Later - Eligibility

Eligible for Klarna BNPL:

  • One-time course purchases
  • Annual membership plans (paid in full)
  • Bundle packages (course + coaching packages)

NOT Eligible for Klarna BNPL:

  • Monthly subscription plans
  • Recurring payment plans
  • Renewal payments

Educational Service Confirmation:

By using Klarna, you confirm you are purchasing educational services consisting of digital lessons, live instruction, and coaching support. Service delivery begins immediately upon purchase with access credentials sent within 1 hour.

14-Day Return Policy

In accordance with UK Consumer Rights and our payment processor requirements:

Eligibility for Refund

You may request a full refund within 14 days of purchase if:

  • You have not substantially accessed or used the digital content/services
  • You have not attended any live educational sessions
  • You have not downloaded proprietary materials or frameworks
  • The request is made within 14 days of initial purchase

How to Request a Refund

To request a refund within the 14-day period:

  1. Email contact@justundeniable.com with subject "Refund Request"
  2. Include your order number and reason for refund
  3. We will process eligible refunds within 5-10 business days

Waiver of Return Rights

By actively accessing our digital educational services, you acknowledge that:

  • You consent to immediate access to digital content
  • You waive your 14-day return rights once you substantially use the service
  • "Substantial use" includes accessing course materials, attending sessions, or downloading content

Exclusions

The 14-day return policy does NOT apply to:

  • Services already substantially performed with your consent
  • Customized or personalized coaching sessions already delivered
  • Renewal payments for ongoing subscriptions (see cancellation policy below)
  • Services purchased more than 14 days ago

Subscription Services

If you purchase a subscription:

  • Billing occurs at the beginning of each subscription period
  • Subscriptions automatically renew unless cancelled
  • You may cancel future renewals at any time
  • Cancellation takes effect at the end of the current billing period
  • The 14-day refund policy applies only to initial subscription purchase, not renewals
  • To cancel, email contact@justundeniable.com with 30 days' notice

Payment Methods Accepted

We accept payment via:

  • Credit/Debit cards (via Stripe)
  • Klarna (Buy Now, Pay Later options where available)
  • Bank transfer (for annual plans)
  • Other methods as announced

Failed Payments

If payment fails, we may:

  • Retry payment using information on file
  • Suspend access to Services
  • Terminate your account after repeated failures
  • Report to Klarna if using their payment services

9. Your Business Education Responsibilities

You are solely and exclusively responsible for:

Legal Compliance

  • Complying with all applicable laws and regulations
  • Obtaining necessary licenses and permits
  • Following advertising and marketing laws
  • Complying with data protection and privacy laws
  • Meeting tax obligations and reporting requirements

Business Operations

  • All business decisions and their consequences
  • Customer relationships and satisfaction
  • Product/service quality and delivery
  • Financial management and accounting
  • Employment matters and contractor relationships
  • Application of educational concepts to your specific business

Tax Obligations

  • Collecting and remitting applicable taxes
  • Maintaining proper tax records
  • Filing required tax returns
  • VAT/GST/Sales tax compliance

We are not responsible for your business operations or legal compliance. You agree to indemnify us for any claims arising from your business activities.

10. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, available at justundeniable.com/privacy. By using our Services, you consent to our data practices as described in the Privacy Policy.

11. DISCLAIMERS OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • ACCURACY OR COMPLETENESS OF INFORMATION
  • UNINTERRUPTED OR ERROR-FREE SERVICE

WE DO NOT WARRANT THAT:

  • The Services will meet your requirements
  • The Services will be available at all times
  • Any defects or errors will be corrected
  • The Services are free of viruses or harmful components
  • Any particular results will be achieved

You assume all risk and responsibility for your use of the Services.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Excluded Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits or revenue
  • Lost business opportunities
  • Loss of data or information
  • Business interruption
  • Damage to reputation
  • Cost of substitute services

Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • £100 GBP
  • The total amount paid by you in the 3 months preceding the claim

Exceptions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable law

These limitations apply regardless of the theory of liability and whether we were advised of the possibility of such damages.

13. DISPUTE RESOLUTION AND ARBITRATION

Informal Resolution

Before initiating formal proceedings, you agree to attempt resolution by contacting us at contact@justundeniable.com. We will attempt to resolve disputes informally for 60 days.

Mandatory Arbitration

YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, except for matters that may be taken to small claims court.

  • Arbitration Rules: London Court of International Arbitration (LCIA) Rules
  • Location: London, England (or by video conference)
  • Arbitrators: One arbitrator mutually agreed upon
  • Language: English
  • Costs: Each party bears its own costs unless arbitrator determines otherwise

Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Disputes must be brought individually. If this waiver is found unenforceable, the entire arbitration provision shall be void.

Exceptions

The following disputes are not subject to arbitration:

  • Intellectual property infringement claims
  • Disputes eligible for small claims court
  • Requests for injunctive relief

14. Indemnification

You agree to indemnify, defend, and hold harmless Service to Millions LTD, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, costs, expenses (including reasonable legal fees), damages, and liabilities arising from or relating to:

  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your violation of any third-party rights
  • Your User Content or use of the Services
  • Any dispute between you and other users
  • Your business operations and activities
  • Any claims by your customers or clients
  • Your tax obligations

15. Copyright/DMCA Policy

If you believe any content on our Services infringes your copyright, notify our Copyright Agent:

16. Third-Party Links and Services

Our Services may contain links to third-party websites and integrate with third-party services. We are not responsible for:

  • Content on third-party sites
  • Privacy practices of third parties
  • Products or services offered by third parties
  • Any damages from your use of third-party services

Your use of third-party services is governed by their terms and policies.

17. Termination

Termination by You

You may terminate your account at any time by providing 30 days' written notice to contact@justundeniable.com. No refunds will be provided for prepaid periods.

Termination by Us

We may suspend or terminate your access immediately without notice if:

  • You breach any material term of these Terms
  • You engage in illegal or harmful conduct
  • You fail to pay amounts due
  • Continued service would pose legal or reputational risks
  • Required by law or court order

Effects of Termination

Upon termination:

  • Your access to Services ceases immediately
  • You must cease all use of our intellectual property
  • We may delete your account data after 30 days
  • You remain liable for all amounts owed
  • Provisions that should survive termination remain in effect

Survival

The following sections survive termination: 4, 6, 7, 9, 11, 12, 13, 14, 16, 20, and 21.

18. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to:

  • Acts of God, natural disasters, or severe weather
  • War, terrorism, riots, or civil unrest
  • Government actions or regulations
  • Labor disputes or strikes
  • Pandemic or epidemic
  • Power failures or internet outages
  • Cyber attacks or system failures

During a force majeure event, affected obligations shall be suspended. If the event continues for more than 60 days, either party may terminate affected services.

19. Electronic Communications and Signatures

You consent to receive electronic communications from us. All electronic communications, agreements, and signatures have the same legal effect as physical documents. You may withdraw consent by contacting us, but this may limit your ability to use our Services.

20. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Undeniable regarding the Services and supersede all prior agreements.

Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.

No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Notices are effective upon receipt.

21. Updates to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via:

  • Website announcement

Changes become effective 30 days after notice. Your continued use constitutes acceptance of modified Terms.
